Ownership and risk

For non-managed packages, title of ownership of the equipment (telephones, accessories and adapters) passes to the purchaser on confirmation of payment to VoIP Traders. You bear all risk of loss or theft of, or damage to, the purchased equipment. Telephone numbers are rented subject to monthly payment with title of ownership remaining with the service provider.

For managed systems, title of ownership of the equipment (telephones, accessories and adapters) remains with the supplier VoIP Traders. However, you bear all risk of loss or theft of, or damage to, the purchased equipment. Telephone numbers are rented subject to monthly payment with title of ownership remaining with the service provider.

Acknowledgement

By using our service you signify your irrevocable acceptance of the Terms and Conditions. VoiP Traders reserves the right to revise these Terms and Conditions at any time without notice.

Terms of Services (Agreement)

The Agreement sets out the terms on which VoIP Traders agrees to provide Services (the Service) to you. This Agreement commences on the date that VoIP Traders first accepts your order. Orders for the service are accepted at our sole discretion.

Service Information

a) When you sign up to the Service you understand and agree that the Service may not offer all the features found on a traditional phone line and may sometimes be unavailable due to reasons such as power failures, disruptions to your internet service or broadband connection or your own computer, that is things we have no control over. A broadband connection is essential in order to use the service. b) For some equipment supplied, 999/112 public emergency services may not be accessible. Please check with the product details before purchase. c) Where the equipment does support 999/112 public emergency services are accessible, a breakdown in the connections may prevent access to these services. d) It is essential you should always have an alternative means of accessing 999/112. e) In the event of an emergency, you must identify your phone number and location when you dial 999/112 when contacting the emergency operators and authorities. f) If VoIP Traders has to suspend your service for any reason, you may not be able to keep your telephone number.

Current call charge rates can be found on the Tariffs section of our website at www.voiptraders.co.uk and are subject to change without notice.

Payment terms

For orders being purchased online using credit or debit cards, the full amount will be charged in advance to be charged to the credit or debit card and include (where appropriate) the price (purchase or rental) of the equipment, the first month's account rental fee, postage charges and any set up or additional fees (where appropriate).

All usage-based charges will be billed monthly in arrears, together with any other charges which VoIP Traders decides to bill in arrears. The first of these will be invoiced at 30 days from placing the order (subject to a satisfactory credit limit reference) and subsequently at 30 days thereafter during the life of the service provision.

VoIP Traders reserves the right to suspend service for any account exceeding payment terms by 60 days from date of invoice. Provision of the service is conditional upon you paying the all fees and charges applicable for use of the Service in accordance with this agreement. The methods of payment are set out in the website www.voiptraders.co.uk

Vat is included where applicable at the current rate and a VAT invoice will be sent out electronically showing the total amount due. With credit card payment, VoIP Traders reserves the right to stop accepting credit cards from one or more issuers at any time. Please notify us immediately of any changes to credit or debit card details. Failure to do so may lead to suspension or termination of your service.

Your initial order for the service authorises VoIP Traders to charge your debit or credit card. The authorisation will remain valid until 30 days after VoIP Traders receives your written notice terminating VoIP Traders authority.

VoIP Traders may impose a credit limit on your account and charge your credit or debit card for the full amount of charges incurred at any time offset the amount credited against the full amount of charges due at the end of the Billing Period.

You must pay all sums due in full and you cannot set off, deduct or withhold any part of any sum you owe us. VoIP Traders may suspend or terminate your Service at any time acting reasonably, if you fail to make any payment when it becomes due. VoIP Traders reserve the right to charge for any administration costs incurred in recovering any sum you owe us. VoIP Traders reserve the right to employ debt collection agencies, to assign the right to collect your debt or to factor your debt to a third party for collection.

VoIP Traders can change the terms of payment if for instance, you do not pay your bills on time. You must notify VoIP Traders in writing within 7 days after the date of your debit or credit card statement if you dispute any our charges. Billing disputes must be notified to info@voiptraders.co.uk

Use of Service

If you use the Service other than for normal and reasonable purposes and contrary to what is reasonably expected for a residential or small to large business user (as the case may be), we may suspend or terminate the Service immediately in which case you will be responsible for paying all charges under the applicable pricing plan including without limitation unbilled charges, disconnection fees and other charges all of which immediately become due and payable.

By accepting these terms, you are agreeing NOT to allow through your actions, or those of another, the use of services from VoIP Traders for unlawful or illegal purposes; including but not limited to making offensive, indecent or prank/hoax calls, allowing others to do so, using the services fraudulently, to commit or further a criminal offence. You are agreeing NOT to cause damage to this or any other communication or data system, and you fully indemnify VoIP Traders against any liabilities (including such things as legal expenses, losses, costs, claims and damages), brought about by your action or inaction in violation of this agreement.

You may NOT submit or publish through VoIP Traders any materials that are libellous, defamatory, pornographic, an invasion of privacy, obscene, abusive, illegal, racist, menacing, offensive, or otherwise criminal, an infringement on any intellectual property rights of a third party or would otherwise violate the rights of any third party.

You will comply with all reasonable instructions provided by VoIP Traders in relation to the service.

Termination or Suspension of Service

You agree that you will use the Service in accordance with such instructions as we may notify to you from time to time and in accordance with any applicable laws and regulations. You are responsible for all activity and usage of the Service and for any breaches of this Agreement that may result. You agree that you will not use the Service in a way that in VoIP Traders reasonable opinion is likely to affect the quality of the Service or any other service provided by VoIP Traders. You agree that the Service is for your own use only and that you will not without our prior consent in writing re-sell or re-supply the Service to others for money or monies worth.

In the event that the equipment used to access the Service is stolen or if you become aware of any unauthorised use of the Service you must contact us immediately. Failure to do so may result in you being liable for any losses arising as a result of such unauthorised use and suspension or termination of your Service.

All information provided by you shall be true and accurate and will be relied upon by us for the provision of the Service. If, at any time, the Service is affected or unavailable other than due to our fault you will continue to be billed for the Service.

The customers with one month's written notice may terminate service provision. VoIP Traders will assist the customer in transferring existing telephone numbers and service to an alternate provider, conditional on receipt of all amounts due at the date of termination. You may terminate the Agreement at any time or be terminated by us if you fail to comply with any term or condition of this Terms of Use. In such event, no notice shall be required by VoIP Traders to effect such termination. Without prejudice to our rights to terminate this Agreement, we may suspend the Service if we reasonably believe you are in breach of any term of this Agreement or any other agreement with us or you abuse or threaten us, or a member of our staff.

We may also suspend the Service if we are obliged to comply with an order, instruction or request of government or other competent authority. Upon any suspension or termination by us, you are responsible for the full month's charges to the end of the then current Billing Period, including without limitation unbilled charges, and other charges all of which immediately become due and payable. We may immediately charge these amounts to your debit or credit card. We may or may not agree to restore your Service. Before we agree to restore your Service a re-activation fee may be charged.

The Agreement will be ended immediately upon notifying you by email if you breach this Agreement and fail to remedy the breach within a reasonable time specified in a written notice from us to do so. You make, or offer to make, an arrangement with your creditors; you commit an act of bankruptcy; someone brings a petition, receiving order or administration order against you to make you bankrupt, you are a limited company and a resolution to wind you up is passed or a receiver or administrator is appointed over all or part of your assets. We can also end this Agreement if we think any of these things or something similar may happen. Any regulatory change affecting our ability to offer the Service is introduced, including but not limited to any authorisation or licence under which we provide the Service expiring or being revoked. We may terminate this Agreement at any time without liability to you if any underlying arrangement with other operators or suppliers is terminated for whatever reason.

Cancellation

VoIP Traders bills in regular recurring monthly cycles commencing from the date on which VoIP Traders accepts your order and ending on the day before the same date in a following month ("Billing Period"). If you want to cancel this Agreement in full, or if you want to cancel some but not all of your lines and other features of the Service, for any reason you must telephone us by calling 0845 450 5644 (or such other telephone number as may be posted on our web site from time to time). Your telephone notice of cancellation must be received no later than 2 working days before the end of the then current Billing Period otherwise cancellation will not become effective until the end of the next following Billing Period. VoIP Traders will send you confirmation of your cancellation by email. A working day does not include Saturdays, Sundays or any public or bank holiday in the United Kingdom. Provided you have not exercised your right of cancellation (via the 30 day Money Back Guarantee), if you cancel this Agreement in full, or if you cancel some but not all of your lines or other features of the Service during the period of 12 months following the date on which VoIP Traders accepts your order, you will be liable to pay disconnection fees in respect of each line and other Service features cancelled and you will be responsible for paying all charges under the applicable pricing plan including without limitation unbilled charges and other charges all of which immediately become due and payable. If you cancel this Agreement at any time following the end of the aforementioned 12 months period no disconnection fee(s) will be payable; all other charges immediately become due and payable.

Warranty

Purchased telephones, accessories and adapters are subject to twelve months exchange warranty, which may be extended by annual payment. Defective units returned to VoIP Traders are at the customers expense. An exchange unit will be despatched to the customer by courier service as soon as possible. In the event the returned unit is damaged, an exchange unit will be offered subject to repair or replacement charge.

We warrant that we shall provide the Service with reasonable skill and care, within a reasonable time and substantially as described in this Agreement. We do not warrant that the provision of the Service will be fault free or uninterrupted but will use all reasonable skill and care to provide and maintain the Service.

We do not make any other promises or warranties about the Service. You acknowledge and agree that in entering into this Agreement you do not do so on the basis of, and do not rely on any representation, warranty or other provision except as expressly provided in this Agreement and all conditions, warranties or other terms implied by statute or common law are excluded to the fullest extent permitted by law. The equipment and the Service is made available "as is" for your own use only.

Nothing in this Agreement affects your statutory rights.

We will provide a limited warranty on equipment covering manufacturing defects only for a period of one (1) year from the date of purchase. If equipment supplied by us is faulty because of manufacturing defects you must report the fault by telephoning us promptly on 0845 450 5644 (or such other telephone number as may be posted on our web site from time to time) and we shall replace the equipment for you provided the faulty equipment is returned to us at your cost by recorded delivery (to such address as shall be notified to you by VoIP Traders) within a period of 30 days following the date on which the fault was reported to us. The faulty equipment must be returned to us in its original packaging with the universal product code or bar code intact. All components, manuals and registration cards must be included. You will be charged for the replacement equipment (including our delivery costs). The amount charged for the replacement equipment (excluding our delivery costs) will be credited back to you provided we receive the faulty equipment within 30 days following the date on which the fault was reported to us and provided further that the fault is not caused by abuse or negligence while in your care.

Liability and Indemnity

Whilst VoIP Traders endeavour to maintain the highest level of customer service, the service is provided subject to the company being held harmless from any claims for consequential loss or damages resulting from loss of service.

VoIP Traders will not be liable to you or any third party either in contract or tort (including negligence or breach of statutory duty) or otherwise for any damage, cost or expense, loss of or corruption of data, loss of profits or production, for any loss of revenue, loss of operational time, goodwill, contracts or anticipated savings, profits, corruption or destruction of data or any indirect or consequential loss caused by the interruption, delay, suspension, non-delivery, packet loss or in connection with any computer virus or system failure, caused by the interruption of the services the downloading or use of the software or any event beyond our control including the act of any network operator or third party, even if we are expressly advised of the possibility of such damage or loss.

VoIP Traders expressly excludes any warranty as to the suitability, quality or reliability of the services or the software that they will be fit or suitable for your purposes. You agree that the limitation of liability in this agreement is appropriate.

These limitations do not restrict or limit your rights as a consumer.

You may contact VoIP Traders at any time by email at the address given on the website www.voiptraders.co.uk. If a court of competent jurisdiction holds any part of this agreement as unenforceable then the rest of the agreement shall remain in force to the maximum extent permissible by law.

VoIP Traders shall not be liable to you for the loss of the services caused by an event beyond our reasonable control including but not limited to any fault in or suspension of the network of any third party, any act of God, lightning damage, fire, power failure or any loss or change to or loss of telecommunications equipment or any act of any authority or third party.

Nothing in this Agreement excludes or limits our liability for death or personal injury to you by our negligence, or for any liability that cannot be excluded or limited by law.

You accept and agree that you will have no claim against us or any underlying network access provider if you are unable to access the Service and the exclusions and limitations of liability shall apply to all claims arising from your use of the Service including claims against our network access providers.

Except in the case of clause our liability to you (if any) for direct loss or damages in contract, tort, including negligence or breach of statutory duty, or otherwise, arising out of or in connection with this Agreement shall be limited to £100 per incident or series of connected incidents and £500 in any 12 month period. In the event of any failure in the Service or Equipment, we shall not be liable to you for any charges incurred by you should you divert your traffic to another provider.

You will indemnify VoIP Traders from and against any and all costs, expenses, (including reasonable legal fees), claims, demands and actions arising from or related to any breach of this Agreement or any misuse of the Service or Equipment (whether or not supplied by VoIP Traders).

Terms and Conditions Modification

Periodically, changes in these terms may be required to comply with regulatory or business requirements from time to time. Such changes may be published on the company website (www.voiptraders.co.uk), and notifications may be sent to you via email, depending on the nature of the change. Continued use of VoIP Traders products and services both before and after such changes, signifies irrevocable acceptance to the Terms of Use. VoIP Traders reserves the right to change, modify, suspend or discontinue any portion of the Service at any time. VoIP Traders may also impose limits on certain features or restrict your access to parts or the entire Service without notice or liability.

Eligibility

The Service is available to individuals who are eighteen (18) years of age or older as well as corporations and other organizations who can form legally binding contracts under applicable law. By accepting these Terms, you signify that you meet these qualifications of eligibility. VoIP Traders may refuse to offer the Service to any person or company, and may change our criteria for eligibility, at any time, at its sole discretion. VoIP Traders retains the right to terminate your account and your rights to use the VoIP Traders products and services for any reason including but not limited to our belief or suspicion that any registration data you provide is or becomes untrue, inaccurate, not current, or incomplete.

Service Modification

VoIP Traders cannot guarantee that the service will be uninterrupted or free of faults. At times VoIP Traders may need to suspend service to correct a fault or for maintenance purposes. If this happens VoIP Traders will restore the service to you as quickly as reasonably possible. VoIP Traders reserves the right to modify or discontinue service, temporarily or permanently, with or without notice to you, and VoIP Traders are not obligated to support or update our service. VoIP Traders will not be liable to you or any third party in the event that VoIP Traders.

Promotions

If you accept a special offer or other promotion, there may be a term commitment associated with the benefit you accepted. The commitment period will be disclosed as part of the promotion. If you terminate service prior to the end of the commitment period, you agree to pay VoIP Traders a recovery fee for the promotion/special offer you accepted. Recovery fees are cumulative and in addition to any other charges or fees you may owe VoIP Traders. Each recovery fee is an amount equal to the difference between the price you paid and the regular price of the goods or service at the time you accepted the promotion/special offer.

Money Back Guarantee

We offer a 30 day Money Back Guarantee for purchased items (non-managed packages). Under the terms of our Money Back Guarantee, if VoIP Traders has supplied equipment to you, VoIP Traders refunds the activation fee, subscription for the first month of service, and shipping charges and waives any disconnection fee(s), provided the terms described below are satisfied in full. If you have purchased the equipment from elsewhere no refund of equipment, shipping charges or a refund of the activation fee is applicable. In order to be entitled to this Money Back Guarantee you must cancel the Service within 30 days after the date of placing your order;

You must at your cost return the equipment to VoIP Traders by recorded delivery within 14 days after cancellation to such address as shall be notified to you by VoIP Traders. You must return the equipment undamaged in its original packaging with the universal product code or bar code intact. All components, manuals and registration cards must be included.

You must not have used more than 250 minutes of local and national geographic calls (including calls to the Republic of Ireland). You remain responsible for metered charges such as, but not limited to, international, mobile, non-geographic and directory enquiry calls. To return the VoIP Traders supplied equipment you need to obtain a valid return authorisation number from VoIP Traders by telephoning customer care on 0845 450 5644. You are responsible for the cost and risk of returning the Equipment.

Matters Outside Our Control

We shall not be liable to you or be in breach of this Agreement for any delay or failure in performance if such delay or failure is due to a cause beyond our reasonable control.

Privacy

We comply with all applicable data protection laws in the UK and our current Privacy Policy is published at www.voiptraders.co.uk. By entering into this Agreement you confirm that you have read and understood our Privacy Policy and you agree to our using your data as detailed in our Privacy Policy.

Licence and Intellectual Property

All marks (websites, corporate names, service marks, trademarks, trade names, logos and domain names) of VoIP Traders are and shall remain the exclusive property of VoIP Traders throughout the world. Nothing in this Agreement shall grant you the right or licence to use such marks.

General

We can record any conversations between you and our staff. If we fail to enforce a right under this Agreement, that failure will not prevent us from enforcing other rights, or the same type of right on a later occasion.

If a clause or condition of this Agreement is not legally effective, the remainder of this Agreement shall be effective. We can replace any clause or condition that is not legally effective with a clause or condition of similar meaning that is.

Nothing in this Agreement confers on any third party any right to enforce any of its provisions pursuant to the Contracts (Rights of Third Parties) Act 1999, but this does not affect any right or remedy of a third party which exists or is available apart from that Act.

You may not assign or transfer any of your rights or obligations under this Agreement without our prior written consent. Those clauses the survival of which is necessary for the interpretation or enforcement of this Agreement shall continue in full force and effect in accordance with their terms notwithstanding termination or expiry of this Agreement.

This Agreement represents the entire agreement and understanding between us in relation to the subject matter hereof and supersedes all prior understandings and representations, whether written or oral. This clause shall not affect the parties' rights and remedies in respect of any fraudulent misrepresentation.

Jurisdictional Issues

This Service is controlled and operated by VoIP Traders and makes no representation that materials in the Service are appropriate or available for use in your location. Those who choose to access this Service from any location do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

This Agreement represents the entire agreement and understanding between us in relation to the subject matter hereof and supersedes all prior understandings and representations, whether written or oral. This clause shall not affect the parties' rights and remedies in respect of any fraudulent misrepresentation.

This Agreement is governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English Courts.
